These Terms of Service (“Terms”) govern your access to and use of the website located at innovatehub.ph, together with the products, platforms, and services offered by InnovateHub Inc. (“InnovateHub,” “we,” “us,” or “our”), including the PlataPay platform (collectively, the “Services”). Please read these Terms carefully.

1. Acceptance of terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Definitions

• “Content” means all text, graphics, images, software, and other materials made available through the Services.
• “User,” “you” means any person who accesses or uses the Services.
• “PlataPay” means the digital wallet, agent, and payment platform operated under InnovateHub Inc.

3. Use of our services

You may use the Services only for lawful purposes and in accordance with these Terms. You agree to provide accurate, current, and complete information when requested and to keep it updated. We may modify, suspend, or discontinue any part of the Services at any time without liability.

4. Accounts & registration

Certain Services require you to create an account. You are responsible for safeguarding your login credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use or security breach. We may refuse, suspend, or terminate accounts at our discretion, including for suspected fraud or violation of these Terms.

5. PlataPay & financial services

Where you use PlataPay or other regulated financial services, additional terms, product-specific agreements, and Know-Your-Customer (KYC) and Anti-Money-Laundering (AML) requirements may apply. You agree to comply with all such requirements and with applicable Philippine financial laws and regulations. Transaction fees, limits, and service availability may apply and may change with notice. InnovateHub is not a bank; financial services are provided in accordance with applicable licenses and partnerships.

6. Acceptable use

You agree not to:

• Use the Services in violation of any law, regulation, or third-party right;
• Engage in fraud, money laundering, or any unlawful financial activity;
• Upload malicious code or attempt to disrupt, probe, or gain unauthorized access to our systems;
• Copy, scrape, reverse-engineer, or exploit any part of the Services without authorization;
• Impersonate any person or misrepresent your affiliation with any person or entity;
• Use the Services to transmit spam, harassment, or harmful content.

7. Intellectual property

All Content, trademarks, logos, and the “InnovateHub” and “PlataPay” names are the property of InnovateHub Inc. or its licensors and are protected by Philippine and international intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. No other rights are granted, and you may not use our marks without prior written consent.

8. Third-party services

The Services may contain links to, or integrations with, third-party websites and tools (for example, embedded forms, chat assistants, payment processors, and analytics providers). We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is governed by their own terms and privacy policies.

9. Disclaimers

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. To the maximum extent permitted by law, you use the Services at your own risk.

10. Limitation of liability

To the fullest extent permitted by applicable law, InnovateHub Inc. and its directors, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of (or inability to use) the Services. Our total aggregate liability for any claim relating to the Services shall not exceed the amount you paid to us, if any, for the specific service giving rise to the claim during the three (3) months preceding the event.

11. Indemnification

You agree to indemnify and hold harmless InnovateHub Inc. and its affiliates, officers, employees, and partners from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

12. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with the Data Privacy Act of 2012 (RA 10173).

13. Suspension & termination

We may suspend or terminate your access to the Services, in whole or in part, at any time and without prior notice if we believe you have violated these Terms, applicable law, or to protect the security and integrity of our Services. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing law & disputes

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the proper courts of Batangas, Philippines, without prejudice to any mandatory dispute-resolution or consumer-protection mechanisms available under Philippine law.

15. Changes to these terms

We may revise these Terms from time to time. The updated version will be posted on this page with a new effective date, and your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
